Commercial Due Diligence for Global EHS Software Vendor On Energy Management Firm

A leading EHS software firm specializing in compliance and risk management was looking to enhance their energy management capabilities through acquisition. Engaged in discussions with a specific target firm, our client enlisted Verdantix to carry out a Commercial Due Diligence (CDD) project to support their decision-making. This was the fourth CDD project we have undertaken with this client in two years.


Solution

For this project we conducted an extensive analysis of the target firm. We leveraged existing Verdantix insights alongside additional primary research which included utilizing our extensive network of tech buyers to interview potential buyers. Our approach consisted of evaluating the target's current product capabilities, their market position, growth potential, and the key customer and buyer personas. We also provided an overview of the competitive landscape, highlighting the strengths, weaknesses, and unique selling points of the target firm compared to each key competitor. This approach provided a comprehensive assessment of the target's attractiveness as an acquisition.


Outcome

Following the project our client elected to proceed with the transaction. Subsequently our client was acquired themselves by a PE-backed competitor.
